Introduction Welcome to the Incentiv Portal (the "**Portal**", "**Incentiv Portal**") made available by Incentiv. ## 2. Agreement to Terms By accessing and using the Portal, you ("**User**") agree to comply with and be bound by these Terms and Conditions ("**Agreement**" or "Terms") and to our Privacy Policy as published on [https://incentiv.io/](https://incentiv.io/) (the "**Privacy Policy**") and any other agreements or terms as set forth by the Incentiv. These Terms constitute a binding obligation between you and Incentiv. If you do not agree, you should not participate in the Portal. The Agreement applies to your access to and use of the websites, platform, software, technologies, features, and other online products and services (collectively, the "**Services**") provided or made available by Incentiv. YOUR PARTICIPATION IN THE PORTAL IS ENTIRELY VOLUNTARY. IF YOU ARE PARTICIPATING IN THE PORTAL, YOU MUST STRICTLY ADHERE TO THESE TERMS. ## 3. Purpose of the Portal The Incentiv Portal (the “Portal”) provides access to Incentiv’s blockchain infrastructure, applications, services, rewards programs, and ecosystem features. Through the Portal, users may interact with digital assets, participate in platform activities, and access functionality made available by Incentiv. The Portal may be updated, modified, enhanced, restricted, suspended, or discontinued, in whole or in part, at any time and at Incentiv’s sole discretion. Incentiv may introduce new features, modify existing functionality, or make changes to improve the security, performance, and operation of the Services. Users acknowledge that activities conducted through the Portal may involve digital assets and blockchain transactions that may have real-world value and may be irreversible. ## 4. Eligibility By participating in the Portal, you represent and warrant that: * You are at least 18 years old or the legal age in your jurisdiction. * You have the full authority to accept these terms. * You are not the subject of sanctions administered or enforced by any country or government or otherwise designated on any list of prohibited or restricted parties (including but not limited to the lists maintained by the United Nations Security Council, the U.S. Government (including but not limited to the Office of Foreign Assets Control), the European Union or its Member States, or other applicable government authority) or a citizen or organized or resident in a country or territory that is the subject of country-wide or territory-wide sanctions (including without limitation Cuba, Democratic People's Republic of Korea, the Crimea, Donetsk, and Luhansk regions, Russian Federation, Republic of Belarus, Iran or Syria); * You are not barred from participating under any applicable laws, statutes, ordinances, rules, regulations, judgments, injunctions, orders and decrees ("**Applicable Laws**"); * You will not use a virtual private network (VPN) or other tool to circumvent any geo block or other restrictions that we may have implemented for participants in the Portal; ## 5. Availability of the Portal The Incentiv Portal (the “Portal”) is made available by Incentiv and may be modified, updated, restricted, suspended, or discontinued, in whole or in part, at any time and at Incentiv’s sole discretion. Notwithstanding any information published by Incentiv on its website, documentation, blog posts, social media channels, community forums, or other communications, Incentiv reserves the right to change, remove, suspend, or terminate any feature, functionality, service, program, campaign, or reward offering available through the Portal, temporarily or permanently, at any time and without prior notice. Incentiv does not guarantee the continued availability of the Portal or any specific feature, service, or reward program. ## 6. Digital Assets Digital assets, tokens, rewards, or other blockchain-based assets made available through the Portal may have real-world value. Incentiv makes no representation, warranty, or guarantee regarding the value, liquidity, marketability, transferability, availability, or future performance of any digital asset. Users acknowledge and agree that digital asset transactions involve significant risks, including market volatility, loss of value, technical failures, smart contract vulnerabilities, and regulatory changes. Users are solely responsible for evaluating and accepting such risks. Unless expressly stated otherwise by Incentiv, ownership, transferability, redemption rights, utility, and eligibility associated with any digital asset shall be governed by the applicable protocols, smart contracts, and any additional terms published by Incentiv. Nothing in these Terms shall be construed as a guarantee that any digital asset will maintain value, be listed on any exchange, have liquidity, or be redeemable for any particular asset, service, or amount of value. ## 7. Token Management Incentiv may, in its sole discretion and subject to applicable law, modify, suspend, restrict, discontinue, or terminate all or any part of the Portal, the Protocol, or any token-related features, programs, or services at any time, with or without notice. Incentiv may also modify the eligibility criteria, allocation methodology, distribution schedules, utility, or functionality associated with Tokens or Rewards. Incentiv does not guarantee the continued availability of the Portal, the Protocol, any Tokens, Rewards, or related services for any specific period of time, and you may not rely on their continued availability. In the event that the Portal, the Protocol, or any token-related program is suspended, discontinued, or terminated, your ability to access, use, transfer, or receive Tokens or Rewards may be limited or discontinued. Nothing in these Terms shall be construed as a guarantee that any Tokens or Rewards will be maintained, distributed, remain available, retain any particular value, or be exchangeable for any asset, service, or benefit. Incentiv reserves the right to cancel, modify, withhold, or revoke any future Token or Reward distributions to the extent permitted by applicable law and these Terms. ## 8. No Guarantees and Disclaimers * The Portal is provided "as is" and "as available" without any warranties. * The Portal may experience failures, downtime or security vulnerabilities. * The developers of Incentiv are not liable for any losses, damages, or disruptions resulting from the use of the Portal. ## 9. Prohibited Activities Users must not: * Exploit vulnerabilities, bugs, or security flaws for malicious purposes. * Use the Portal for illegal, fraudulent, or unauthorized purposes. ## 10. Data Collection and Privacy By using the Portal, you acknowledge and agree that certain data, such as transaction records and technical logs, may be collected for analysis and improvement of Incentiv. In our efforts to provide helpful resources, we may include links to third-party service providers on our website or through the Portal. Please be aware of the following: * **No Endorsement:** We do not endorse or make any representations about these third-party services. The inclusion of any link does not imply our approval or recommendation. * **User Responsibility:** It is the user's responsibility to review and understand the privacy policies and terms of service of any third-party provider before engaging with their services. We encourage you to read these policies to understand how your personal information may be collected, used, and shared. * **Limited Control:** We have no control over the practices or performance of these third-party services and cannot be held liable for any consequences arising from your use of them, including but not limited to any performance issues, service outages, or data breaches. Any interactions you have with these providers are solely between you and the provider, and we are not responsible for any issues that may arise. ## 11. Third-Party Services By using our website and engaging with the linked services, you acknowledge that you have read and understood this disclaimer. ## 12. Changes to the Agreement and Privacy Policy Incentiv may update this Agreement and its Privacy Policy at any time, at its sole discretion. If it does so, Incentiv will be deemed to have delivered a notice of such update to you if it: (i) has posted the updated Agreement or Privacy Policy at the website address where the Agreement or Privacy Policy, as applicable, were originally posted; or (ii) has posted the updated Agreement or Privacy Policy on its website, or on any applicable blog or forum used by Incentiv for sharing of information; or (iii) has delivered notice of such update to you through other form of communication. You agree to check the foregoing sources regularly for updates and review any and all updates to the Agreement and the Privacy Policy. If you continue to participate in Portal after Incentiv has posted updates to its Terms or Privacy Policy, you are agreeing to be bound by the updated Terms or Privacy Policy, as applicable. If you do not agree to be bound by the updated Terms or Privacy Policy, then your only recourse is to immediately notify Incentiv, and immediately and permanently cease all/further participation in the Portal. ## 13. Rewards As part of your participation in the Portal, Incentiv may choose, in its sole discretion, to provide certain Rewards or benefits to eligible participants for completing certain activities, including performance criteria or other requirements set by Incentiv. Other contributions to the Portal may further be rewarded by Incentiv in its sole discretion. Such Rewards may include Mainnet tokens. In order to receive Rewards, you will be required to comply with the requirements as set by Incentiv and published prior to any distribution of rewards, if any. ## 14. Reward Changes Notwithstanding any other information provided by Incentiv regarding the Portal (including on its website, blog posts or through other communications (such as Telegram, Discord, X (formerly Twitter), Reddit or other channels), Incentiv may in its discretion change or modify the amounts or types of Rewards and/or discontinue, or terminate, temporarily or permanently, all or any part of the Rewards program at any time and without notice and Incentiv may remove or re-allocate any Rewards earned by any participant or elect not to provide any rewards to any participant. You agree that any Rewards, if any, received will result from your participation in and use of the Portal and the Protocol, including any activities, services, or contributions that Incentiv determines, in its sole discretion, are eligible for Rewards. ## 15. Investigation Rights Incentiv reserves the right to request information about, review and investigate all Portal activities, and to disqualify participants at its sole discretion, if it believes a participant has engaged in any activity that is abusive, fraudulent, in bad faith or otherwise fails to meet the Portal standards and requirements. If you violate any of the terms and conditions of these Terms (as determined solely by Incentiv, if you have engaged in any activity that is abusive, fraudulent, in bad faith, or if you do not complete the necessary information or fail to provide accurate information, then you will not be eligible to receive Rewards, if any, and Incentiv may require you to promptly return any Rewards you have already received to Incentiv. ## 16. Reward Eligibility Your eligibility to receive Rewards is made in reliance upon your representation to Incentiv, which by your agreement to this Agreement you hereby confirm, that any Rewards you receive will be for your own account, not as a nominee or agent, and not with a view to the resale or distribution of any part thereof, and that you have no present intention of selling, granting any participation in, or otherwise distributing the same. By agreeing to this Agreement, you further represent that you do not presently have any contract, undertaking, agreement or arrangement with any person to sell, transfer or grant participation to such person or to any third person, with respect to any Rewards. If you agree to these terms on behalf of an entity, you acknowledge that entity has not been formed for the specific purpose of obtaining the Rewards. ## 17. Reward Restrictions Any Rewards delivered to you may be subject to such restrictions on transferability, eligibility or vesting, as determined by Incentiv, at its sole discretion, which may include delivery to a multi-sig wallet or to any other device, mechanism, program or application intended to enforce the transfer restrictions imposed on the Rewards, or additional lock-up or legend requirements. If required by Incentiv, you must accept the smart contract or other electronic contract containing the terms applicable to the distribution of such Rewards (including, without limitation, any token terms and conditions or Protocol terms and conditions); failure by you to accept such contract or contracts shall render your rights to receive such Rewards void. You agree to comply with all such terms, conditions and restrictions, and consent to the imposition of the foregoing. ## 18. Market Existence You understand that no public market now exists for the Rewards, and that Incentiv has not made any assurances that a public market will ever exist for the Rewards. ## 19. No Solicitation You acknowledge and agree that at no time were you presented with or solicited by any publicly issued or circulated newspaper, mail, radio, television, internet, or other forms of general advertising or solicitation in connection with any invitation to participate in the Portal or offer of the Rewards or any rewards or benefits. ## 20. Risk Acknowledgment You acknowledge, assume, and hold Incentiv, its affiliates, and their respective directors, officers, employees, contractors, advisors, lawyers, accountants, suppliers, licensors, agents and other representatives (collectively, the "**Incentiv Parties**") harmless, from and against any losses, liabilities, claims, demands, damages, expenses or costs ("**Claims**") arising out of, in connection with or related to the following risks with respect to the Rewards: (i) the Protocol may never fully be developed, and to the extent developed, may not function as intended; (ii) the Protocol may fail to attract sufficient interest from key stakeholders and the general public; (iii) the Protocol (and/or the individuals or entities behind it) may be subject to investigation and punitive actions from governmental authorities; (iv) tokens, and the markets for tokens, are, by their nature, highly experimental, risky, and volatile due to factors including (but not limited to) adoption, speculation, technology, security, and regulation; (v) the cost and speed of transacting with tokens are variable and may increase dramatically at any time; (vi) cryptography is a progressing field with advances in code cracking and other technical advancements, such as the development of quantum computers, which may present risks to tokens, including theft and loss; and (vii) token transactions are generally irreversible, and subject to loss due to human error. ## 21. Technical Issues You acknowledge and agree that if you are unable to claim Rewards due to technical bugs, gas fees, loss of access to a digital wallet or the private or public keys thereto, or for any other reason, you will have no recourse or claim against us or any Foundation Party and that neither we nor any other Foundation Party will bear any liability. ## 22. Third-Party Integration You acknowledge and agree that claiming a Reward may require reliance on or an integration with third-party products (e.g., a digital wallet or an unaffiliated network or blockchain) that Foundation does not control. In the event that you are unable to access such products or integrations, or if they fail for any reason, and you are unable to participate in the Portal or claim Rewards, you will have no recourse or claim against us or any other Foundation Party and neither we nor any other Foundation Party will bear any liability. ## 23. Taxes You are responsible for the payment of all taxes associated with your receipt of any benefits or Rewards (if applicable). You acknowledge that participation in the Portal and the receipt of Rewards may have tax implications in your jurisdiction. Incentiv strongly recommends that you consult with an independent financial, legal, or tax advisor to fully understand these implications. By participating in the Portal, you represent that: (i) You have consulted with financial, legal, and/or tax advisors regarding your participation and receipt of any Rewards, or you have knowingly chosen not to seek such advice; (ii) Incentiv has not provided, nor has any obligation to provide, financial, legal, or tax advice with respect to your participation; and (iii) You are not relying on Incentiv or any of its affiliates for any financial, legal, or tax guidance. ## 24. Technical Issues and Claims You acknowledge and agree that if you are unable to claim Rewards due to technical bugs, gas fees, loss of access to a digital wallet or the private or public keys thereto, or for any other reason, you will have no recourse or claim against us or any Foundation Party and that neither we nor any other Foundation Party will bear any liability. ## 25. Third-Party Dependencies You acknowledge and agree that claiming a Reward may require reliance on or an integration with third-party products (e.g., a digital wallet or an unaffiliated network or blockchain) that Foundation does not control. In the event that you are unable to access such products or integrations, or if they fail for any reason, and you are unable to participate in the Portal or claim Rewards, you will have no recourse or claim against us or any other Foundation Party and neither we nor any other Foundation Party will bear any liability. ## 26. Modification or Termination Incentiv reserves the right to modify, suspend, discontinue, or terminate the Portal, the Protocol, or any related services, features, programs, or functionality at any time, with or without prior notice, to the fullest extent permitted by applicable law. Users acknowledge that access to the Portal and certain services, features, Rewards, or token-related functionality may be modified, restricted, suspended, or discontinued at any time. Any Tokens held by a user shall remain subject to the applicable protocol rules, smart contracts, and these Terms, and Incentiv makes no guarantee regarding the continued availability, utility, value, or functionality of such Tokens. ## 27. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, IN NO EVENT WILL ANY FOUNDATION PARTY BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF USE, LOST PROFITS, OR LOSS OF DATA ARISING OUT OF OR RELATED TO
